Notice from the Night of the Special BOD Meeting 08/09/22

   When the Paa-Ko HOA Board of Directors was established, it comprised five Directors appointed by the Developer, Mountain Ranch Limited. Over the last several years, the New Mexico HOA Act has required two of the five positions to be filled by Paa-Ko residents, currently Tim Doyle as Vice President and Christian McMahon as Secretary. The other three positions are filled by Developer appointees, Bruce Franks as President and Treasurer and, recently, residents Jim Kelley and Bob Eaton. The latest appointees shows the Developer has been working to smooth the transition to full control of the BOD by Paa-Ko residents/Members. Per the Covenant, Conditions, and Restrictions for Paa-Ko Communities, the Developer had control of the HOA Board of Directors until no later than 1 Jan 2023. Yesterday (8-8-22), the President of the BOD resigned along with his two appointees representing the Developer. The remaining Board Members, per the CC&Rs, have appointed three Paa-Ko resident Members to the BOD.
    The decision to vacate the Developer’s positions prior to the 01 Jan 23 date is strategic. Non-appointed Board members serve a two-year term. Tim Doyle and Christian McMahon were re-elected to the BOD in the Annual Member meeting in October 2021. Per the CC&Rs, vacated Board positions are filled via appointment by the remaining Directors, and they serve until the next Annual meeting. If we had waited until Jan 2023, all five HOA Directors would be up for election at the same time. This has the potential to disrupt the operation of the HOA. The way we implemented this change will, at least for the time being, have two or three Director positions up for election during each Annual meeting.
    We wish to deeply thank Bruce Franks for his leadership and diligence. His countless hours spent working behind the scenes have greatly improved the Community. We also want to thank the recent Directors for their dedication and service: Mark Hammond (dec.), Christopher Baca, Lou Ochoa, Tom Dittman, and Nick Thompson. The current Directors, all Paa-Ko residents, as of 09 August 2022 are Tim Doyle, Bob Eaton, Jane Garrard, Jim Kelley, and Christian McMahon.     One side note: look for improvements in the communication between the BOD and Members. We are instituting a quarterly newsletter. Many things of importance are happening in Paa-Ko, and we feel the need to more clearly communicate what is going on in this growing community. Things like CC&R modernization, CC&R enforcement, HOA Management, LEAG responsibilities, Budgets, Maintenance and Weeds will be included.

We will also provide key community contact information for questions or concerns regarding security, community maintenance issues (including gates), CC&R compliance, and the preferred Director direct contact information for each area.
